HOSTING POLICIES
(Terms of Service (TOS) and Authorized Use Permit (AUP))

The Basics (but not limited to) in plain English:
1. Nothing illegal! - no illegal spamming, illegal pornography, unsolicited email (opt-ins are ok), warez, serial numbers, cracks, codes, stolen MP3's etc...
2 . No Server abuse.
3 . We bill monthly or Annually by PayPal and 2CheckOut.
4 . If you violate any of the above or below policies, ArrowTeck Services will cancel your account (we always contact you first).
5 . You lose your 30 day money back guarantee if you violate any of the above or below policies.



The Legal Version
Authorized Use Policies (AUP)

(for all accounts) ArrowTeck.com (ArrowTeck Services) has certain ethical, legal and moral responsibilities consisting with the use of its servers and equipment involved in the services of web site hosting, marketing and design. ArrowTeck Services reserves the right to suspend, deny or cancel a subscriber's access to any or all services provided by ArrowTeck Services whenever ArrowTeck Services decides the services it has rendered have been inappropriately used. Use of ArrowTeck Services constitutes acceptance and agreement to our policies.


Web Site, Server, and Network Content/Use Provisions

(for all accounts) All services provided by ArrowTeck Services and its underlying service providers may be used for lawful purposes only. Transmission, storage, or presentation of any information, data or material in violation of any United States federal, state or city law is prohibited. This includes, but is not limited to: copyrighted material, material we judge to be threatening or obscene, material protected by trade secret and other statutes, material that would cause harm to minors, threats and harassment, forgery, fraud, unfriendly network disruptions, and distribution of viruses. The subscriber agrees to indemnify and hold harmless ArrowTeck Services from any claims resulting from the use of the service which damages the subscriber or any other party. The subscriber also agrees that ArrowTeck Services may disclose, without subscribers consent, any and all information related to the subscriber and their service with ArrowTeck Services to any law enforcement agent who makes a written request.

ArrowTeck Services is not responsible for any material input by anyone other then ArrowTeck Services and/or posted to the ArrowTeck Services network by anyone other then ArrowTeck Services. This includes the content and links on websites hosted by ArrowTeck Services. ArrowTeck Services disclaims any liability and responsibility relating to inappropriate use or inappropriate content of anything hosted by ArrowTeck Services that ArrowTeck Services did not solely create and post to the ArrowTeck Services network.

Pornography is prohibited on any ArrowTeck Services server. ArrowTeck Services will be the sole arbiter as to what constitutes a violation of this provision but in general if its legal for all ages to see, its ok, if you have to be 18 or 21 to view, then its not ok. ArrowTeck Services also reserves the right not to host sites that it considers, in its sole discretion, to be religiously or racially offensive or inflammatory. ArrowTeck Services will not host warez sites or anything related to, promoting, or offering warez, serial numbers, cracks, illegal mp3's or anything else that would considered illegal by the laws governing the citizens of the United States and the state of Wisconsin and the city of New Holstein, Wisconsin.

Sending unsolicited email, hosting a website that is listed in an unsolicited email, providing dns service for an unsolicited email service are all prohibited on the ArrowTeck Services Network. Opt-in lists are acceptable.

With the few exceptions listed above and below, we support the uncensored flow of information and ideas over the internet. We do not actively monitor the information that our subscribers transmit and receive, however, we do react immediately to any alleged violations of any of our policies in which case we reserve the right to monitor anything on our network and any packet of information that traverses our network.

Bandwidth usage for dedicated and collocated servers: (for dedicated and collocation accounts) Subscriber agrees to pay for all bandwidth they use that is above the amount included in their package, at the current rate which is listed on ArrowTeck Services's dedicated server page. Subscriber may elect to have their bandwidth capped at any amount at their choice, or they may elect to have no cap and simply pay for the additional bandwidth used above what is included in subscribers package.

Background-running Programs: (for virtual accounts) We may allow programs to run continuously in the background. These are considered on an individual basis and an extra charge may be incurred based on system resources used and operational maintenance needed.

IP address's: (Applies to dedicated and co-location subscribers only, does not apply to virtual accounts.) All IPs that are assigned to ArrowTeck Services's subscribers must be used under the authorized use stipulations within 24 hours of being assigned the IP. Authorized use stipulations are taken from ARIN, the organization that manages IPs. There are to be no unused IP's on ArrowTeck Services's networks, except those in reserve for ArrowTeck Services to assign its subscribers on an as needed basis. subscribers are only allocated IPs that they will use within 24 hours. Subscribers are not allowed to keep IP's in reserve.

ArrowTeck Services assigns and allows its subscribers to use IP addresses that are owned or are given to ArrowTeck Services to use. ArrowTeck Services retains ownership of all IPs assigned to subscribers. Name-Based hosting must be used where possible as per ARIN rules.

Server Abuse Issues: (for all accounts) Any attempts to undermine or cause harm to ArrowTeck Services servers or the servers of its underlying service providers or a subscriber of ArrowTeck Services or its underlying service providers is strictly prohibited.

Backups of accounts:
ArrowTeck Services backs up all accounts on a daily, weekly and monthly schedule every 24hrs.
These backups are intended for emergency use only and are done to help our customers from loosing their information  in the event of a catastrophe.
ArrowTeck Services does this as a connivance but is not responsible for information that is lost due to client mis-configuration or neglect.
Neglect in client making backups of their own account through their CPanel is not ArrowTeck Services fault or responsibility.
The responsibility of making backups of your account is ultimately clients responsibility and in using our services you accept this responsibility and acknowledge that ArrowTeck Services can not be held responsible for lost information or data for any reason.

Network Security: (for all accounts) Subscribers are prohibited from violating or attempting to violate the security of the ArrowTeck Services network or any of its other subscribers, and should a violation take place, civil or criminal liability may result. ArrowTeck Services will investigate any alleged violations and cooperate fully with law enforcement. Violations include but are not limited to the attempt to login to any machine which the subscriber is not exclusively paying for, interfering with any service by ddos attacking, mail bombing or anything else that would be detrimental to the services that ArrowTeck Services provides, attempting to probe or scan or test vulnerability of any machine on the ArrowTeck Services network, forgeing any IP address, and taking any action in an attempt to receive services that the subscriber is not paying for. A violation of any of the above may result in immediate removal from the network.

Any sub-networks or re-seller networks of ArrowTeck Services must adhere to all of these policies.

Internet Access Agreement

By accessing the Internet via ArrowTeck Services network, Subscriber, and/or any person using Subscriber's login identification name, or login identification names ordered by Subscriber, is deemed to have accepted the terms and conditions contained in this Internet Access Agreement (the "Agreement") and shall be bound thereby.

Definition:
"Subscriber" as used herein, means an individual, a corporation, or a legal entity who incurs usage charges for the Service for its own use or who incurs usage charges on behalf of a third party, i.e., a User.
"User," as used herein, means a Subscriber who uses Service or an individual, a corporation, or a legal entity whose Service usage charges are incurred by a third party, i.e., Subscriber.
Service:
ArrowTeck Services Internet Services (ArrowTeck Services) will provide Subscriber and its Users analog or digital access to the Internet, depending on the rate plan selected (the "Service"), subject to conditions generally beyond the control of ArrowTeck Services, including the type and condition of the equipment (personal computer, modem, etc.) of Subscriber and/or its Users. Service may be temporarily unavailable or limited because of capacity limitations and may be temporarily interrupted or curtailed due to equipment modifications, upgrades, relocations, repairs, and similar activities necessary for the proper operation of Service.

Acceptable Usage of Dial-Up Accounts:
Subscriber and its Users agree to use dial-up accounts solely on an active "dial-up" basis, meaning only as needed and in no way on a standby or inactive basis in order to maintain a connection. Without limitation of the foregoing, Subscriber and its Users shall abide by the following provisions regarding usage:

A dial-up account may be used for World Wide Web browsing, reading or posting to Usenet newsgroups, sending, receiving and reading electronic mail and transferring files via the file transfer protocol.
A dial-up account shall not be used to host a dedicated server site on the Internet including but not limited to web, mail and ftp.
A dial-up account shall not be accessed simultaneously by multiple users using the same user ID.
A dial-up account has only two mailboxes for incoming electronic mail unless additional mailboxes have been purchased.
Automated processes may not be used such as checking e-mail or pinging the host to maintain a constant connection.
Inactivity Disconnect Policy:

ArrowTeck Services reserves the right to disconnect a dial-up account after 20 minutes of inactivity, as detected by ArrowTeck Services through electronic means. This time is approximate and subject to change without notice in ArrowTeck Services sole discretion. Electronic or mechanical means to avoid an inactivity disconnect are strictly prohibited. Electronic or mechanical means include, but are not limited to, "pinging" the mail server, employing electronic or software autodialed features to maintain an active connection or repeatedly checking for e-mail by auto login to the mail server. ArrowTeck Services reserves the right to electronically audit connections to enforce the above requirements.

Access:

Service access will be provided via a local telephone number where available. ArrowTeck Services is not responsible for any toll or other charges in the event Service access is not provided via a local telephone number. It is the sole responsibility of the subscriber to check with their local telephone provider to ensure they are calling a local access number.

Price:
Subscriber shall pay to ArrowTeck Services the charges associated with the rate plan selected, including applicable taxes, 800 access charges, etc. If Service access is not provided via a local telephone number, Subscriber may also be responsible for toll or other charges. ArrowTeck Services reserves the right to modify the charges upon the completion of said terms of Agreement. All charges are figured for 1 month in advance and will be pro-rated to make up the difference when subscriber signs up for services.

Payment:
Subscriber shall be invoiced according the rate plan selected. Payment will be deemed made when received by ArrowTeck Services.

6. Term and Termination:

This Agreement becomes effective upon registration of Subscriber's login identification name and shall remain in effect for the period indicated in writing or email or until terminated as provided herein. Termination notices must be made in writing either by mail or fax or thru or online client area. Subscriber is subject to early termination fees equaling the time left for their subscription contract.

Credit:
There shall be no credits, reductions, or setoff against the charges for Service for downtime or interruption of Service unless such Service interruption exceed 24 hours in duration. ArrowTeck Services shall provide Subscriber with a credit equal to 1/30 of the recurring monthly charge for Service for each twenty-four hour period from the time of notice of interruption until Service restoration, provided Subscriber notifies ArrowTeck Services of the Service interruptions. No adjustments shall be made by accumulating periods of non-continuous interruption. A credit allowance will not be given for mistakes, omissions, interruptions, delays, errors, defects or curtailments in the Service caused by the negligence or willful act of Subscriber or others, or mistakes, omissions, interruptions, delays, errors, or defects caused by failure of equipment or of Service as described in Section 2.

Limitation of Liability:
ArrowTeck Services SHALL NOT BE LIABLE FOR INTERRUPTION CAUSED BY FAILURE OF EQUIPMENT OR SERVERS NOT PROVIDED BY ArrowTeck Services, FAILURE OF COMMUNICATIONS, POWER OUTAGES, OR OTHER INTERRUPTION NOT WITHIN THE COMPLETE CONTROL OF ArrowTeck Services, NOR SHALL ArrowTeck Services BE LIABLE FOR PERFORMANCE DEFICIENCIES CAUSED OR CREATED BY SUBSCRIBER'S OR ITS USERS' EQUIPMENT. SUBSCRIBER AND USER HEREBY RELEASE ArrowTeck Services FROM LIABILITY ARISING FROM ANY CONTENT ACCESSED VIA THE SERVICE. ArrowTeck Services PERFORMANCE UNDER THIS AGREEMENT SHALL BE EXCUSED IN CASE OF LABOR DIFFICULTIES, GOVERNMENTAL ORDERS, CIVIL COMMOTIONS, ACTS OF GOD, OR OTHER CONDITIONS OR CIRCUMSTANCES BEYOND ITS REASONABLE CONTROL. ArrowTeck Services SHALL NOT BE LIABLE IF CHANGES IN OPERATION OR ALTERATION OF SUBSCRIBER'S OR ITS USERS' EQUIPMENT, RENDER THE SAME OBSOLETE OR OTHERWISE AFFECT ITS PERFORMANCE. IN NO EVENT SHALL ArrowTeck Services BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS OR BUSINESS OPPORTUNITY, LOSS OF USE, ETC. THE LIABILITY OF ArrowTeck Services FOR ACTUAL PROVEN DAMAGES FOR ANY CAUSE WHATSOEVER, INCLUDING BUT NOT LIMITED TO ANY FAILURE OF OR DISRUPTION OF SERVICE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT OR IN TORT OR OTHERWISE, INCLUDING NEGLIGENCE, SHALL BE LIMITED TO AN AMOUNT EQUIVALENT TO CHARGES PAYABLE BY SUBSCRIBER UNDER THIS AGREEMENT FOR THE SERVICE DURING THE PERIOD SUCH DAMAGE OCCURS. ArrowTeck Services MAKES NO OTHER WARRANTIES OR REPRESENTATIONS, EITHER EXPRESS OR IMPLIED, CONCERNING THE SERVICE, AND EXPRESSLY DISCLAIMS WARRANTIES OF FITNESS FOR A PARTICULAR USE OR PURPOSE, THE WARRANTY OF MERCHANTABILITY AND ANY OTHER WARRANTY IMPLIED BY LAW.

Indemnity:
Subscriber and User shall indemnify and hold harmless ArrowTeck Services from and against any loss, cost, claim, liability, damage, or expense (including reasonable attorney's fees) to third parties, relating to the use of the Service by Subscriber, User, or any of their personnel, whether or not Subscriber or User has knowledge of or has authorized such access or use, including, without limitation, claims for libel, slander, invasion of privacy, infringement of copyright, patent infringement (where Subscriber or User has used, connected, or combined the Service with the products or services of others) negligence, or tortious behavior. Subscriber agrees to indemnify ArrowTeck Services along with any parties from whom ArrowTeck Services obtains network services, and to hold them harmless from any claims resulting from the use of the Service by Subscriber or its Users that damage another party or that violate the law.

Subscriber Responsibility:
Subscriber shall ensure that its Users shall comply with the terms and conditions of this Agreement. Any access to other networks connected to ArrowTeck Services network must comply with the rules of the other networks.

Use of Service:
Subscriber and its Users agree to abide by and comply with the following terms and conditions:

Misuse of Service:
Subscriber and its Users shall not use the Service to make foul or profane expressions, to impersonate another person with fraudulent or malicious intent, to contact another person as to annoy, abuse, threaten, or harass such other person, or for any purpose in violation of law, or in such a manner as to interfere unreasonably with the use of the Service by any ArrowTeck Services customers. Subscriber and its Users shall not distribute chain letters or "junk" mail (any unsolicited mail of a business or commercial nature) or engage in " Ponzi " or "pyramid" schemes. The Service and underlying network may only be used for lawful purposes. Transmission of any material in violation of any U.S. or state regulation is prohibited. This includes, but is not limited to: copyrighted material, material which is threatening or obscene, or material protected by trade secret. In addition, ArrowTeck Services generally reserves the right in its sole discretion to either temporarily discontinue, or permanently terminate furnishing the Service upon notice to Customer in the event Customer uploads any information that is libelous, defamatory or that violates or infringes any right of privacy of any Persons; uploads any messages, data, images or programs that are indecent, obscene or pornographic; use the facilities and capabilities of ArrowTeck Services to conduct or solicit the performance of any illegal activity or to conduct any other activity that infringes the rights of ArrowTeck Services or any third party; or upload any information, messages, data, images or programs that is discriminatory or otherwise offensive as determined by ArrowTeck Services in its sole discretion.

b . Interference with the Right of Third Parties :

In the event that ArrowTeck Services receives notice from a third party, or in the event that ArrowTeck Services reasonably believes, that Subscriber's or any User's use of the Service, either alone or in connection with products or services of others, constitutes to either (1) defamation, invasion of privacy, or unfair competition, or (2) misuse, misappropriation or infringement of any patent, copyright, trademark, trade secret or other proprietary of intellectual property right of such third party, the ArrowTeck Services shall have the right, in its sole and exclusive option and discretion, without prior notification to Subscriber or to User(s), and without limiting any other rights or remedies ArrowTeck Services might have or incurring any obligation or liability to Subscriber or to User(s), to temporarily discontinue or permanently terminate, in whole or in part, furnishing of Services to Subscriber or to User(s).

 

Terms of Service (TOS)

Right To Refuse Service and Cancel Accounts: (for all accounts) ArrowTeck Services reserves the right not to accept accounts for hosting for any reason it deems appropriate. We also reserve the right to cancel an account at anytime, for any reason, other than those stated specifically in this policy statement, with 30 days notice. Accounts that violate any of the policies specifically stated herein, including late payment or non-payment of fees owed, may be canceled with no notice.

Communication

(for all accounts) Our primary means of communications with clients, including for billing purposes and technical support is by e-mail. You must supply us with your current e-mail address so that we may contact you at any time. We cannot be held responsible for not notifying you of account cancellation if you do not supply us with your correct and current e-mail address. You should check your e-mail regularly to make sure you do not miss an important notice.

Technical Support

(for all accounts) Technical Support is available 24/7/365 from our website under the Client Login Links that go to our Clients Account Area.  Login and submit a Trouble Ticket (also see Demo/Tutorial Links, FAQ section and the Users Guide). Phone Support is available in emergencies at 920-898-9280.  Email technical support is available at support@ArrowTeck.com. Priority is given to the Trouble Tickets in all cases - phone support is not given priority except in emergencies. For all virtual and non-virtual accounts, tech support covers connecting to the server, setup, email, path, uploading files issues and more but does dot included troubleshooting and editing your perl or Php or other scripts or databases. ArrowTeck Services can install your scripts at $35.00 an hour.

For dedicated accounts, tech support is limited to initial setup, and thereafter only network related issues - the dedicated account holder must be or have someone be the sysadmin for their Server.  ArrowTeck Services will only give limited support for Control Panel issues, If you have this type of problem go to the people how made it we can not be responsible for programming all the different kinds of control panels and added software out their today. 

Note: As time permits, we do assist in technical support beyond what is stated above because we do want our customers to be successful but we can not do all things at all times.

Deactivation

(for all accounts) If any of these terms or conditions are not followed it will result in grounds for account deactivation. We reserve the right to remove any account without notice if any of the terms or conditions stated herein are violated. If such an occurrence takes place, the fees for that month's service will not be refunded to the subscriber. Fees for the entire month are due if the account is active even just one day during that month.

If we deem it necessary to cancel an account for any reason other than those specifically stated in this document, we will give you a 10-day notice of cancellation by e-mail.

ArrowTeck Services reserves the right to make any changes to its policies and Hosting plans, pricing, and features offered at any time as necessary and in no way implies fitness of purpose warranties. ArrowTeck Services reserves the right to refuse service to anyone. ArrowTeck Services reserves the right to determine what violates any of ArrowTeck Services's policies.

Payment Policies

(for all accounts) All accounts are set up on a pre-pay basis. Setup fees are charged for all new accounts and major account changes and are non-refundable. All pricing is guaranteed for the term of pre-payment. The subscriber is responsible for all money owed on the account from the time it was established to the time that the subscriber notifies ArrowTeck Services in writing for a request for termination of services (see cancellation by subscriber section below for details on how to cancel). All payment is in U.S. currency and must be prepaid with Offline Credit Card (Visa - MasterCard)  PayPal Payment Services or Personal Check mailed 1 week in advance of due date. Subscribers may prepay multiple months in advance with a discount applying for prepayments of 12 months, however, all multiple month prepayments are non-refundable unless ArrowTeck Services cancels the subscribers account. A subscriber who prepays and then wants to downgrade their hosting package can do so, but will not be eligible for a refund of any prepaid monies, or a reduction in monthly charges until the pre-paid period is up.

There is a $10.00 late fee for all payments that are not on time. This includes all credit card payments that do not go through as of the due date of the monthly payment due to the card being declined or expired, no longer good, or any other problem. It is the subscribers responsibility to inform ArrowTeck Services of any changes in their credit card information including expiration dates. The subscriber authorizes ArrowTeck Services to use whatever means necessary to effect payment for overdue accounts or cancellation fees, if any. This includes making the charge to the subscribers credit card, even if the subscriber does not usually pay by credit card. Once a service is 10 days overdue for payment, service will be interrupted if prior arrangements with ArrowTeck Services have not been made. ArrowTeck Services reserves the right to turn over any debts owed to ArrowTeck Services to a collection agency or to attorneys in that order.

If the subscriber desires domain name registration, registration of a new domain name is done through ArrowTeck Domains. Domain Registration fees are paid to ArrowTeck Services and are non-refundable.

Refunds and Disputes

(for all accounts) All payments to ArrowTeck Services are non-refundable. This includes the setup-fees and all subsequent charges. If you dispute a charge made to your credit card by ArrowTeck Services and it is found that the charge was valid, you agree to pay ArrowTeck Services a $100 administration fee.

Transfer of Service

(for all accounts) Subscriber shall not transfer their service to any other person or entity without prior written consent from ArrowTeck Services. If ArrowTeck Services agrees to allow the transfer of service, the new subscriber must agree to the ArrowTeck Services TOS and AUP.

Service Rates

(for all accounts) Subscriber acknowledges that the initial costs and specifications of the service that the subscriber is subscribing to have been disclosed to the subscriber. ArrowTeck Services reserves the right to change pricing and specifications of its service at any time due to market fluctuations, cost to provide service, changes in cost of hardware etc... When changes are made to pricing or specifications of the service ArrowTeck Services is providing that result in lower pricing or in better specifications, ArrowTeck Services will make every effort to pass those changes on to the subscriber, however, in some circumstances additional fees will apply. When changes are made to pricing or specifications of the service ArrowTeck Services is providing that result in higher pricing or in lower specifications, ArrowTeck Services will make every effort NOT to pass those changes on to the subscriber. ArrowTeck Services is not obligated to change the rates and specifications of subscribers existing service for any reason at any time, and it will be at the sole discretion of ArrowTeck Services and based on financial evaluations of what is required to keep ArrowTeck Services a profitable operating company, able to provide the highest quality services to the subscribers.

30 Day Money Back Guarantee (MBG)

All virtual and reseller web hosting plans (this does not include dedicated and co-located plans or Dial-up Internet Services) come with a 30 day money back guarantee. If you are not completely satisfied within the first 30 days, your monthly rental will be refunded. ArrowTeck Services does not refund setup fees. 30 day money back guarantee does not apply to spammers (unsolicited emailers legal or not), adult sites, or server abusers. Any account on ArrowTeck Services servers that is caught spamming (sending any unsolicited email legal or not), violating any of ArrowTeck Services's hosting policies, or abusing the server in any way will automatically forfeit the right to any refunds of any monies including the MBG. Annual pre-payments receive a discount and forfeit their right to the money back guarantee.

Cancellation initiated by subscriber

(for all accounts) Subscribers must notify ArrowTeck.com in writing when they wish to cancel their accounts and must include in that writing the date they wish to cancel. Cancellation must be initiated at least 30 days before the cancellation date but not more then 60 days before the cancellation date requested (after the first month of service). Notification to ArrowTeck Services of the transfer of the subscribers domain name from internic or associated organization to another hosting provider does not constitute a cancellation as these are often forged without the subscribers knowledge. Email is acceptable for the written notice of cancellation to ArrowTeck Services.

Term (length) of service

(for all virtual hosting accounts) All hosting packages are billed Annually.

Service Level Agreement

For dedicated and Co-location customers only, ArrowTeck Services guarantees 99.5% network uptime as a general rule excluding scheduled maintenance and internet wide vulnerabilities (things like linux slapper, sql sapphire and others that have taken large parts of the internet down due to things far beyond the control of ArrowTeck Services), although we average 99.98% uptime. Some clients may have different uptime agreements based on their packages. In the event the network uptime guarantee is not met ArrowTeck Services will refund 5% of the clients monthly package amount for every 2 hours of downtime after the guarantee is not met, up to and not to exceed the full monthly amount. Network is considered unreachable if there is 100% packet lost between ArrowTeck Services and its backbone providers. ArrowTeck Services cannot provide any guarantees beyond its backbone providers. Downtime is measured starting 10 minutes past notification of network failure via our help desk ticketing system, or by telephoning ArrowTeck Services in the even the NOC is not reachable. End of the downtime is when there is no longer 100% packet loss between ArrowTeck Services and its backbone providers. Customer is responsible to notify sales@ArrowTeck.com within 7 days of the incident if customer believes they are entitled to a claim.

Indemnification

(for all accounts) Subscribers agrees that it shall defend, indemnify, save and hold ArrowTeck Services harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against ArrowTeck Services, its agents, its subscribers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by subscriber, it's agents, employees or assigns. Subscribers agrees to defend, indemnify and hold harmless ArrowTeck Services against liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with ArrowTeck Services's server; (2) any material supplied by subscriber infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to subscriber from ArrowTeck Services's server. This means if ArrowTeck Services is sued because of a subscriber or a subscriber of an ArrowTeck Services's subscriber's activity, the subscriber will pay for any and all damages and associated court costs and attorneys fees that ArrowTeck Services incurs.

(for all accounts) ArrowTeck Services will not be responsible for any damages your business may suffer. ArrowTeck Services makes no warranties of any kind, expressed or implied for services we provide. ArrowTeck Services disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by ArrowTeck Services and its employees. Subscriber acknowledges that the service that is provided can be interrupted for reasons other then the negligence of ArrowTeck Services. Subscriber also acknowledges that the absolute limit of any liability for anything for any reason to any subscriber at all can never exceed an amount equivalent to the charges payable by the subscriber to ArrowTeck Services during the period in which damages are alleged to have occurred. ArrowTeck Services reserves the right to revise its policies at any time without notice. Subscribers must adhere to the policies and changes as they are made.

DISPUTE RESOLUTION AND GOVERNING LAW.

(for all accounts) This agreement shall be governed by and construed in accordance with the laws of the City of New Holstein, and to the extent such courts have jurisdiction, by the State of Wisconsin or the United States District Courts located in Wisconsin. The parties hereby agree that the appropriate forum for any disputes arising out of this Agreement or the transactions contemplated hereby shall be the city courts of New Holstein, the state courts of the State of Wisconsin, and the United States District Courts located in Wisconsin, and the parties hereby irrevocably consent to the exclusive and personal jurisdiction of such courts.
